3. Client Responsibilities

• Respond promptly to requests for additional information

3.2 Compliance

You are responsible for:

• Reviewing all prepared documents before signing or filing
• Understanding the tax positions taken on your returns
• Maintaining records as required by law
• Complying with all applicable laws and regulations

4. Professional Standards

Our services are provided in accordance with applicable professional standards, including:

• IRS Circular 230 (Tax Practice Standards)
• Generally Accepted Accounting Principles (GAAP) where applicable
• Professional codes of conduct and ethics
• State licensing requirements and regulations

5. Fees and Payment Terms

5.1 Service Fees

Fees for services are based on the complexity of work, time required, and current fee schedule. All fees will be communicated and agreed upon before services are rendered.

5.2 Payment Terms

• Payment is due upon completion of services unless other arrangements are made
• Late payments may be subject to interest charges of 1.5% per month
• Services may be suspended for overdue accounts
• Client is responsible for any collection costs or legal fees

6. Confidentiality

We maintain strict confidentiality of all client information in accordance with professional standards and applicable laws. Client information will not be disclosed to third parties without written consent, except as required by law or professional obligations.

7. Limitation of Liability

Our liability for any claim, loss, or damage arising from our services is limited to the fees paid for the specific service giving rise to the claim. We are not liable for:

• Consequential, indirect, or punitive damages
• Lost profits or business opportunities
• Damages resulting from client's failure to provide complete information
• Changes in tax laws or regulations after service completion
• Penalties or interest imposed by tax authorities due to client actions

8. Indemnification

Client agrees to indemnify and hold harmless ASSISTAX LLC from any claims, damages, or expenses arising from:

• Inaccurate or incomplete information provided by client
• Client's failure to comply with tax laws or regulations
• Client's use of our services for unlawful purposes
• Third-party claims related to client's business activities

9. Termination

Either party may terminate this agreement with written notice. Upon termination:

• Client remains responsible for fees incurred through the termination date
• We will provide client records upon request and payment of outstanding fees
• Confidentiality obligations continue indefinitely
• We may retain records as required by law and professional standards

10. Dispute Resolution

Any disputes arising from these Terms or our services will be resolved through binding arbitration in Ohio, under the rules of the American Arbitration Association. The prevailing party is entitled to reasonable attorney fees and costs.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of the modified Terms.
